Section 194J: TDS on Professional and Technical Fees Explained
How to correctly classify invoices between professional services, technical consulting, and call centers to avoid tax demand notices.
Section 194J governs tax deductions on payments made for professional fees, fees for technical services (FTS), royalty, and director remuneration. Following an amendment in the Finance Act 2020, this section was split into two separate rate tiers: 2% and 10%.
Misclassifying a professional service under the 2% technical bracket is one of the most common reasons companies receive intimation notices under Section 200A for short deduction of tax.

The 10% vs 2% Rate Breakdown
| Service Nature | Statutory Rate | Annual Threshold | Examples |
|---|---|---|---|
| Professional Services | 10% | ₹30,000 | Legal counsel, Chartered Accountants, Medical doctors, Architects, Engineers, Interior Decorators |
| Fees for Technical Services (FTS) | 2% | ₹30,000 | Software development, IT maintenance, Engineering testing, Specialized technical consulting |
| Call Center Business | 2% | ₹30,000 | BPO operations, Voice customer care, Telemarketing agencies |
| Royalty for Cinematographic Films | 2% | ₹30,000 | Film distribution rights, Exhibition licenses |
| Director's Remuneration (Non-Salary) | 10% | NIL (Deduct from ₹1) | Sitting fees, committee fees, non-executive director commission |
Professional services are strictly restricted to professions notified under Section 44AA: legal, medical, engineering, architectural, accountancy, technical consultancy, interior decoration, and authorized representatives.
General management consulting, marketing advisory, and IT support usually qualify as technical services attracting 2% TDS, provided the service provider does not practice a notified statutory profession.
The ₹30,000 Threshold Mechanism
TDS under Section 194J applies only if the total fees credited or paid to a payee during the financial year exceed ₹30,000.
Importantly, the threshold applies independently to each of the four categories: (a) professional fees, (b) technical fees, (c) royalty, and (d) non-compete fees. A vendor who bills ₹25,000 for technical support and ₹20,000 for legal advice in the same year is exempt from TDS on both, as neither sub-category exceeds ₹30,000.
Exception: Director fees have NO threshold. Even a ₹5,000 sitting fee paid to an independent director requires 10% TDS (₹500).
Key takeaways
- 01Statutory professional services attract 10%; software and technical services attract 2%.
- 02The ₹30,000 threshold applies separately to each distinct service category under 194J.
- 03Director sitting fees have zero threshold; TDS applies on the very first rupee.
- 04Always ensure the contractor's invoice specifies the exact nature of service to justify a 2% deduction.
